Terms of use

These Terms of Use are drafted in Portuguese. The English and Spanish versions are faithful translations provided for convenience. In the event of any discrepancy in interpretation between versions, the Portuguese version shall prevail, without prejudice to mandatory rules of transparency or protection applicable to the user.

1. Who We Are and Official Contact Channels

1.1. The corporate website, the Customer Area, and the License Portal (collectively, the “Platform”) are owned and operated by AXZON TECNOLOGIA LTDA. (trade name AXZON Technology), a limited liability business company (sociedade empresária limitada) registered with the Brazilian National Registry of Legal Entities (CNPJ) under No. 60.495.408/0001-03, State Tax Registration (Inscrição Estadual) Exempt, Municipal Tax Registration (Inscrição Municipal) 4.BO982-9 (Barueri/SP), enrolled in the Simples Nacional (Brazilian simplified tax regime), headquartered at Alameda Rio Negro, nº 503, Sala 2011, Alphaville Centro Industrial e Empresarial, Barueri/SP, CEP 06454-000, Brasil, telephone +55 (11) 95078-6367 and sales WhatsApp +55 (11) 98920-1114 (“Axzon”).

1.2. The official email contact channels are:

Messages sent through social networks or instant messaging applications (such as the sales WhatsApp displayed on the website) constitute a convenience operational channel for quick assistance, but do not replace formal contractual notices or a written commercial proposal. Requests sent to one of the four official email addresses above that belong to another Axzon department will be redirected internally without prejudice to the user.

2. Purpose, Applicable Documents, and Hierarchy

2.1. These Terms of Use govern access to and browsing of the Platform, the creation and use of an account in the Customer Area, downloads of installers and technical manuals, use of the License Portal, and the intellectual property and security rules applicable to visitors and users.

2.2. These Terms operate together with the following instruments:

  • the Privacy Policy, which explains how Axzon processes personal data and which serves as a transparency notice (not as generic consent);
  • the Terms of Sale, which govern the purchase of licenses, subscriptions, maintenance plans, engineering services, training, and hardware;
  • the Software License Agreement (EULA) for each Axzon program, which accompanies the installer and governs the rules for licensing and use of the software;
  • the commercial proposal or specific agreement, where applicable, for custom services, engineering projects, training, or hardware supply.

2.3. Hierarchy. In the event of conflict between documents on the same subject, the following prevail, in this order:

  1. the signed specific agreement or the written commercial proposal accepted by the customer, on the points it specifically governs;
  2. the EULA of the corresponding software, as to the rights, limits, and restrictions on use of the computer program;
  3. the Terms of Sale, as to commercial conditions, prices, payments, subscriptions, technical validity, warranties, and the right of withdrawal;
  4. these Terms of Use, as to the operation of the website, the account, downloads, and the License Portal.

2.4. Mandatory legal rules and non-waivable rights — in particular those provided in the Código de Defesa do Consumidor (Brazilian Consumer Protection Code, Law No. 8,078/1990) when the relationship is a consumer relationship — prevail over any contractual clause. Benefits and warranties ensured in the Terms of Sale are not reduced by any general provision of these Terms or of the EULA.

3. Acceptance and Capacity to Contract

3.1. Viewing the public pages of the website is subject to the intellectual property, security, and prohibited conduct rules of these Terms. To create an account, download restricted files, activate trials, or make purchases, the user must express their explicit acceptance by means of the corresponding checkbox. Axzon records the accepted version, the date, the time, and the IP address of the operation.

3.2. The Platform, software, and services of Axzon are intended for legal entities and for professionals aged 18 or older with full legal capacity. They are not directed at children or adolescents, and registration by persons under 18 years of age is prohibited. If Axzon identifies an account created by a person under 18 without valid legal representation, it will close the account and delete the data, except where retention is required by law.

3.3. Anyone who creates an account or carries out operations on behalf of a legal entity represents that they have sufficient powers of representation to bind it.

4. Registration and Account Security in the Customer Area

4.1. To download trial installers, request access to complete technical manuals, purchase licenses, and manage activations, the user must create a single, personal, and non-transferable account in the Customer Area. The same account gives access to the Customer Area on the website and to the License Portal.

4.2. Registration data. The user undertakes to provide true, accurate, and up-to-date data. Registration requires:

  • full name;
  • username (login of 3 to 64 characters, consisting of lowercase letters, numbers, period, hyphen, or underscore, starting with a letter), which is permanent and cannot be changed after creation;
  • valid email address and contact telephone or WhatsApp number;
  • CPF (Brazilian Individual Taxpayer Registry number), mandatory for residents of Brazil and validated by check digit, for identification of the holder of the account and of the licenses, prevention of multiple accounts used to improperly repeat free trial periods, and issuance of a tax document when a purchase is made;
  • personal password with a minimum of 12 characters;
  • optional company data (corporate name and CNPJ in Brazil, or equivalent tax identification such as Tax ID/VAT abroad);
  • full address (country, CEP or postal code, street, number, address line 2, neighborhood, city, and state).

4.3. Email confirmation and change. Account activation depends on confirmation of the email address by means of a temporary single-use link, valid for 24 hours. A later change of the registered email address requires the current password and validation of a 6-digit code sent to the current email address (valid for 15 minutes).

4.4. Validated fields and free rectification. To prevent tax fraud and irregular transfer of licenses between third parties, the full name, CPF, corporate name, and CNPJ fields are locked against direct editing through the dashboard after they are entered and validated. This does not prevent the legal right to correct incomplete or inaccurate data (LGPD — Lei Geral de Proteção de Dados, the Brazilian General Data Protection Law, Art. 18, III): the data subject may request rectification of a clerical error free of charge by email to support@axzon.com.br or privacy@axzon.com.br, upon proportionate proof. Correction of a clerical error does not authorize transferring ownership of the account or of the license to another individual or legal entity.

4.5. Safekeeping of credentials. The user is responsible for keeping their password confidential, choosing an exclusive password not used on other services, and not sharing their login. Axzon never asks for the user’s password by email, telephone, or message. If unauthorized access is suspected, the user must change their password immediately in the Customer Area (which automatically ends all other active sessions) and notify support (support@axzon.com.br).

5. Downloads, Integrity Verification (SHA-256), and Technical Manuals

5.1. Temporary links. With an active account and a confirmed email address, the user may download the installers of Axzon software. Downloads are provided through signed temporary links (valid for 10 minutes). If the link expires, the user can simply generate a new one in the Customer Area. Sharing authenticated links or redistributing the installers is prohibited.

5.2. Integrity and Windows SmartScreen warning. Official packages are accompanied by a SHA-256 cryptographic verification code (SHA256SUMS.txt file or hash published on the portal). The user must download files exclusively from Axzon’s official Platform and check the SHA-256 hash before installation. Because the installers may not carry a commercial code-signing certificate immediately recognized by Microsoft, Windows may display the SmartScreen warning (“Windows protected your PC” / publisher “Unknown”). The user should proceed with execution only if they downloaded the installer directly from Axzon’s Platform and confirmed that the SHA-256 code matches. Axzon does not advise or recommend permanently disabling antivirus software, firewalls, or operating system security mechanisms.

5.3. Complete technical manuals. Commercial presentation brochures and essential information about the features, requirements, limitations, and prices of the products are public. The standalone download of the complete technical manual on the website (which details internal engineering configurations, integration architectures, and protocols) depends on registration approval by Axzon, intended to protect trade secrets and prevent copying or reverse engineering by competitors.

5.4. Guaranteed access for licensees. The restriction in item 5.3 applies only to visitors who are not yet licensed. Every customer holding a valid and active paid license has the guaranteed right to the complete technical documentation necessary for the installation, configuration, and regular operation of the purchased product (Law No. 9,609/1998, Art. 8), which is also installed together with the software itself. If an unlicensed user’s manual request is declined, they may request a review from support (support@axzon.com.br).

5.5. Third-party components. Axzon software may incorporate third-party libraries or components, governed by the respective licenses indicated in the notices file that accompanies the installation (such as AVISOS_DE_TERCEIROS.txt).

6. Free Software Trials

6.1. Axzon offers free trial periods for qualification and bench testing before purchase:

  • AxPLCcomm (COM/.NET Driver and SQL/OPC UA/MQTT Sparkplug B Industrial Gateway): free trial for 90 days per computer, limited to up to 5 addresses in use and 1 connection per protocol;
  • AxUSBshare (Server and Client for Windows and Linux x64): free trial of the Server for 30 days, limited to 1 device and 1 connection (the AxUSBshare Client is free and does not require its own Axzon license).

6.2. Prohibition of production use. Trial versions are intended exclusively for controlled qualification testing and may not be used in an industrial production environment, commercial operation, or critical functions. At the end of the period or if the trial limits are exceeded, the software restricts or interrupts communication as described in the technical manual, without generating automatic charges and without any right to compensation for interruption of testing.

6.3. Circumventing, resetting, or artificially extending the free trial period through reinstallation, changing the system clock, cloning or restoring virtual machine snapshots, or creating additional accounts is prohibited.

7. License Portal and Usage Verification

7.1. Activation, renewal, return, reissue, and checking of licenses are carried out in the License Portal, directly through the browser or by file exchange (AxRequest.dat / request.dat, AxLicence.dat / license.dat, AxRenewRequest.dat, and AxRelease.dat), as described in the manual of each product.

7.2. To bind the license to the authorized computer and prevent cloning or unlicensed simultaneous use, the software and the License Portal process technical identifiers, in accordance with the Privacy Policy. Axzon software does not collect or send to Axzon industrial process data, PLC tag values, or the contents of the customer’s SQL databases.

7.3. Each license is bound to a single computer (physical or virtual). Transfer to another computer requires the prior license return procedure set out in the manual and in the Terms of Sale. The software detects whether the same installation is in use on more than one computer and blocks new connections. If the user believes that a technical block occurred improperly, they may request a review from support (support@axzon.com.br), which will be carried out by a person on Axzon’s team (LGPD, Art. 20).

8. Intellectual Property, Prohibition of Scraping and AI Training

8.1. All computer programs, installers, technical manuals, texts, articles, diagrams, images, videos, code samples, logos, trade names, and trademarks on the Platform belong to Axzon or its licensors and are protected by Law No. 9,609/1998 (Software Law), Law No. 9,610/1998 (Copyright Law), and Law No. 9,279/1996 (Industrial Property Law). The software is licensed, not sold.

8.2. Without the prior written authorization of Axzon, it is expressly prohibited to:

  • copy, reproduce, distribute, republish, sublicense, rent, lend, or commercialize any software, installer, technical manual, or restricted content of the Platform;
  • decompile, disassemble, or reverse engineer Axzon software, except in the cases strictly permitted by law;
  • remove, obscure, or alter copyright, trademark, or third-party license notices;
  • use robots, spiders, scrapers, or automated scraping and bulk data extraction tools to collect pages, manuals, prices, or files from the Platform (with the sole exception of regular indexing of public pages by general-purpose search engines that respect the robots.txt file);
  • use any content of the Platform, technical manuals, code samples, support responses, or Axzon software to train, fine-tune (fine-tuning), feed, or evaluate artificial intelligence or machine learning models, or to develop a competing product or service.

8.3. Legal exceptions preserved. Nothing in these Terms restricts the rights granted to the legitimate user by Art. 6 of Law No. 9,609/1998, including making one safeguard copy (backup) of a legitimately licensed copy and integrating the program into the user’s application or operating system when technically indispensable to the user’s needs and for the user’s exclusive use, provided the essential characteristics of the software are maintained.

8.4. Third-party trademarks and product names mentioned on the website or in the manuals (such as manufacturers of PLCs, databases, operating systems, or protection keys) belong to their respective owners and are cited solely to indicate technical compatibility, without implying partnership, endorsement, or official certification.

9. Prohibited Conduct and Use of AxUSBshare with Third-Party Keys

9.1. In using the Platform and Axzon software, it is prohibited to:

  • attempt to access third-party accounts, administrative areas, or servers without authorization, or carry out scans and intrusive vulnerability tests without the prior written authorization of Axzon;
  • interfere with the availability of the Platform, cause intentional overload, or introduce malicious code;
  • remove, defraud, or circumvent technical license control mechanisms;
  • send unlawful, fraudulent, defamatory, or spam content through the forms or support channels.

9.2. AxUSBshare and third-party licenses (HASP keys and similar). AxUSBshare forwards the communication of USB devices over the network, and may be used with physical software protection keys (HASP dongles or equivalent). AxUSBshare does not create additional licenses, does not multiply usage permissions, and does not copy secrets from protection keys. The user is solely responsible for complying with the license agreement of the third-party software that uses the USB device, and it is expressly prohibited to use AxUSBshare (including in Multi mode) to circumvent limits on users, sessions, or workstations imposed by the manufacturer of the third-party software. Axzon may suspend the AxUSBshare license used to violate third-party rights.

10. Vulnerability Reporting and Notice of Unlawful Content

10.1. Good-faith vulnerability reporting. If you identify a security flaw in the Platform or in Axzon software, report it in good faith to support@axzon.com.br, without exploiting the flaw beyond the minimum necessary to demonstrate it, without accessing or extracting third-party data, and without disclosing it publicly before it is fixed. Axzon promptly reviews the reports received.

10.2. Channel for notice of unlawful content and annual transparency. The Platform is a closed corporate environment for the sale and licensing of Axzon’s own products and does not function as a social network or as a space for open publication of third-party content. Nevertheless, under Arts. 16-A, II, and 20-A of Decree No. 8,771/2016 (as amended by Decree No. 12,975/2026), any person who identifies on the Platform any element they consider criminal, unlawful, or infringing of rights may send a notice to contact@axzon.com.br (or privacy@axzon.com.br), indicating: (i) a description of the possible unlawful act; (ii) the address (URL) or exact location of the material; and (iii) the identification of the notifying party and their standing. Axzon will confirm receipt, review the notice on a reasoned basis, take the appropriate action, and inform the decision and the means of challenging it. Axzon will publish annually on the website a simplified transparency report indicating the number of extrajudicial notices received through this channel and the actions taken (even if the count is zero), stating that it does not sell advertising or boosting of third-party content.

11. Use in Industrial Automation and Machinery Safety

11.1. Axzon software reads and writes data in programmable logic controllers (PLCs) and industrial equipment, or shares USB devices over the network. Network failures, communication delays, power outages, operating system restarts, or incorrect configurations may occur in any computing environment.

11.2. Responsibility for the safety design. The customer is solely responsible for the engineering design, the risk analysis, the acceptance tests, and the safe operation of its plant, machine, or application, including the implementation of physical (hardwired) interlocks, redundancies, fail-safe routines, and independent devices capable of protecting the life and physical integrity of persons, equipment, and processes in the event of a communication failure or incorrect data.

11.3. Prohibition in emergency stop functions. Axzon’s off-the-shelf software does not have functional safety certification and must never be used as the sole means of protecting persons, as a certified safety function for NR-12 (Brazilian Regulatory Standard No. 12 on machinery safety), or as an emergency stop mechanism. Engineering or NR-12 compliance services that may be contracted from Axzon depend on a written commercial proposal with a closed scope and issuance of the respective Anotação de Responsabilidade Técnica (ART — Technical Responsibility Record) when applicable, under the Terms of Sale.

11.4. The technical and informational articles published on the website are merely educational and general in nature and do not replace a detailed engineering design, a technical report, or professional validation for the user’s specific installation.

12. Availability, Access Logs, and Third-Party Services

12.1. Axzon employs good engineering practices to keep the Platform secure and available, but does not guarantee uninterrupted operation of the website or of the License Portal, which may undergo scheduled maintenance, security updates, or unavailability resulting from telecommunications/cloud suppliers or force majeure. Licenses already activated on the customer’s computers continue to operate without depending on a continuous internet connection, as described in the manual of each product.

12.2. Retention of access logs. As an internet application provider (Law No. 12,965/2014 — Marco Civil da Internet, the Brazilian Internet Civil Framework — Art. 15, and Decree No. 8,771/2016, Art. 15-A), Axzon keeps confidential, in a controlled and secure environment, the application access logs (IP address, source logical port when necessary for identification, date, and time) for the minimum legal period of 6 months, making them available only upon a court order or in the cases strictly provided by law, as detailed in the Privacy Policy.

12.3. Links and third parties. The Platform may contain links to or integrations with third-party services (such as WhatsApp, payment platforms, and public CEP (postal code) lookup APIs). These services have their own terms and policies, under the responsibility of their respective providers.

13. Account Suspension and Closure

13.1. By the user. The user may request the closure of their account at any time by email to support@axzon.com.br or privacy@axzon.com.br. Closure of the account does not extinguish perpetual licenses already paid and activated (which continue to work on the licensed computer under the EULA), nor does it delete tax documents and records that Axzon must keep by legal obligation or for the regular exercise of rights. Future operations that depend on the License Portal (such as return, transfer, or reissue of a license) will require an active account or direct assistance from support.

13.2. By Axzon. Axzon may suspend or terminate access to the account when there is:

  • provision of false data or use of third-party documents without authorization;
  • fraud or creation of multiple accounts to circumvent the limits of the free trial;
  • violation of these Terms, the Terms of Sale, or the EULA (including redistribution of restricted manuals or attempted reverse engineering);
  • a cyberattack or use that endangers the security of the Platform or of third parties.

13.3. Procedure and defense. In urgent cases of fraud, attack, or imminent security risk, suspension may be immediate, with the reason communicated by email immediately afterwards. In other cases of curable non-compliance, Axzon will notify the user by email, granting a period of 10 business days to remedy the situation before suspension or closure. The user may challenge the measure by email to support@axzon.com.br or contact@axzon.com.br, receiving immediate confirmation and a reasoned response within 5 calendar days. Suspension of the account on the website does not authorize the forfeiture of amounts paid nor invalidate a perpetual license duly acquired and used in accordance with the law.

14. Limitation of Liability

14.1. To the maximum extent permitted by applicable law, Axzon is not liable for lost profits, loss of production, production line or industrial plant downtime, loss of data, or any indirect, incidental, or consequential damages arising from free browsing of the Platform, from the use of informational texts, or from the use of free trial versions (in particular if used in breach of the prohibition of production use in clause 6.2).

14.2. The rules on legal and contractual warranty, technical validity, and limits of liability applicable to paid licenses, subscriptions, engineering services, and hardware supply are governed by the Terms of Sale and the EULA of each product.

14.3. Rights preserved. No provision of these Terms excludes or limits Axzon’s liability for willful misconduct (dolo) or gross negligence, for harm to the life or physical integrity of persons, or for breach of legal duties to protect personal data, nor does it set aside the rights guaranteed by the Código de Defesa do Consumidor (Law No. 8,078/1990) when the relationship is a consumer relationship.

15. Changes to These Terms and Communications

15.1. Axzon may update these Terms of Use to reflect technical improvements, new products, or legislative changes, always keeping the current version published at https://www.axzon.com.br/en/terms-of-use/ with the updated effective date.

15.2. Material changes affecting registered users will be communicated by email or notice in the Customer Area at least 15 days in advance (except when they result from an immediate legal requirement) and, when they impose new obligations, will be subject to new acceptance before the next download or purchase. Changes to these Terms do not retroactively affect purchases already completed.

15.3. Contractual communications from Axzon to the user are deemed valid when sent to the email address confirmed in the account.

16. General Provisions, Governing Law, and Venue

16.1. If any provision of these Terms is held invalid or unenforceable, the remaining clauses will remain in full force and effect. Any tolerance of non-compliance with any obligation does not constitute a waiver or novation.

16.2. These Terms are governed by the laws of the Federative Republic of Brazil.

16.3. The courts of the Comarca de Barueri (judicial district of Barueri), State of São Paulo, are chosen to settle any disputes arising from these Terms, except in cases of absolute legal jurisdiction. When the user is a consumer under the law, they may choose to bring the action in the courts of their own domicile (Código de Defesa do Consumidor, Art. 101, I). For users residing abroad, the mandatory consumer protection and personal data protection rules of their jurisdiction of residence are likewise preserved, to the extent legally applicable. The Platform, including registration and free trials, is not directed at the European Economic Area or the United Kingdom (Terms of Sale, clause 2.5). There is no compulsory arbitration clause in these Terms.
